2. DETAILS OF THE OFFER

2.1 The Offer

This Offer is for the issue by ChaosMusic of a maximum 15 million 
Shares to raise $15 million.

The Offer is being conducted by way of a public and institutional 
Bookbuild, in which Applicants may apply for Shares in ChaosMusic by 
submitting an Application nominating0
 both the number of Shares and 
the price per Share.

An Indicative Price Range of between $1.00 and $1.50 per Share has 
been set.  The minimum Application Price is $1.00 per Share.  The 
Indicative Price Range is intended as a guide only, as Applications 
may be submitted with an Application Price above the Indicative 
Price Range.

The number of Shares issued will be varied such that the gross 
proceeds from the Offer are $15 million, the Offer will not proceed 
and all Ap0
plication Monies will be refunded in full without interest.

The Final Price at which Shares will be issued will be determined by 
the Lead Manager at the Offer Close following a review of the 
Applications received and after consultation with the Company.
All successful Applicants will pay the Final Price.

The Offer is structured as follows:-

* the Public Offer;

* the Institutional Offer;

* the Priority Offer; and

* the Broker Firm Offer.
